Agreement

These Terms of Service (“Terms”) are a binding agreement between you and AI Prompt Enterprises LLC, a Georgia limited liability company, doing business as “GroundCut” (“GroundCut,” “we,” “us”). By creating a GroundCut account or using the service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you are using GroundCut on behalf of a business, you represent that you have authority to bind that business to these Terms.

The service

GroundCut provides software that lets lawn-care operators publish a branded booking page, generate quotes from satellite polygons, take payments, dispatch jobs to crews, and (optionally) sync data with third-party accounting tools. We may add, modify, or remove features over time. We will give reasonable notice of material changes that adversely affect paid subscribers.

Geographic scope

GroundCut is designed and operated for businesses based in the United States. Payment processing, tax calculation, SMS, and accounting integrations assume a US business context. We do not represent or warrant that GroundCut is suitable for use outside the United States, and you are responsible for compliance with any laws that apply where you operate.

Accounts

You are responsible for keeping your sign-in credentials secure and for all activity on your account. You may sign in with email and password or with Google. Notify us immediately of any unauthorized use of your account.

Subscription and payment

Paid plans are billed monthly in advance. Free trials convert to a paid subscription at the end of the trial period unless cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period and no refunds are issued for partial months. We may change pricing on a prospective basis with at least 30 days’ notice; any change applies to renewal periods that begin after the notice period.

Customer payments

Payments from your customers are processed by Stripe under your Stripe Connect account. Stripe is a PCI DSS Level 1 service provider and handles all card-data storage; GroundCut never sees full card numbers. You are responsible for the accuracy of your prices, for delivering the services you sell, and for refunds, disputes, and chargebacks. GroundCut is not a party to the transaction between you and your customer and acts only as a platform facilitating the booking and payment.

Cookies and advertising

Our marketing site uses cookies and similar technologies. Cookies that are strictly necessary to operate the service (sign-in sessions, consent preferences, CSRF protection) are always enabled. Advertising cookies and pixels — specifically the Meta (Facebook/Instagram) Pixel — are disabled by default and only activate after you affirmatively click Accept on our consent banner. We honor Global Privacy Control automatically. You may change your choice any time using the Your Privacy Choices link in the marketing footer. No customer or operator-app data is ever shared with advertising partners.The pixel runs only on our marketing pages; data entered through the operator app, booking flows, or tenants’ branded booking pages is never transmitted to Meta or any other advertising vendor.

Third-party services and integrations

GroundCut integrates with third-party services including Stripe, QuickBooks Online, Twilio, Resend, Mapbox, and Google. Some integrations are required to operate the service (payments, SMS, maps); others are optional and only activated when you connect them (such as QuickBooks Online or Google Sign-In). When you connect or use a third-party service through GroundCut, your use of that service is also governed by that provider’s own terms and privacy practices. We are not responsible for the availability, accuracy, or content of third-party services, and a third-party service’s failure or change in terms may affect the functionality of related features in GroundCut.

SMS messaging

By providing a mobile number to GroundCut — whether as an operator during registration, as a customer when booking a job on an operator’s booking page, or as a crew member when added to a crew — you consent to receive text messages from GroundCut and the relevant operator related to your account, your bookings, and your jobs. This includes booking confirmations, reminders, on-the-way notifications, payment receipts, and other operational messages.

Message frequency varies based on activity. Message and data rates may apply. Reply STOP to opt out of non-critical messages, or HELP for help.

Mobile information is not shared with third parties or affiliates for marketing or promotional purposes. Mobile numbers are shared only with our SMS provider (Twilio) for the sole purpose of delivering the messages described above. See our privacy policy for full details.

Acceptable use

You agree not to use GroundCut to send spam, send messages to people who have not opted in, mislead your customers about price or scope, scrape or interfere with the service, attempt to bypass security controls, or violate any law or third-party right. We may suspend or terminate accounts that abuse the service.

Disclaimer and limitation of liability

The service is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that it will meet your specific requirements.

To the fullest extent permitted by law, GroundCut’s aggregate liability for any claim arising out of or related to these Terms or the service is limited to the amount you paid us in the twelve months preceding the claim. GroundCut will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless AI Prompt Enterprises LLC, its affiliates, and their respective officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising out of (a) your use of the service, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any dispute between you and your customers, employees, or other third parties.

Termination

Either party may terminate this agreement at any time. We may suspend or terminate your account immediately if you breach these Terms or if continued service creates a risk of harm to us, our other customers, or third parties. On termination your right to use the service ends; provisions that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) will survive.

Beta and early-access features

We may identify certain features as “beta,” “early access,” “preview,” or similar (collectively, “Beta Features”). Beta Features are provided “as is” for evaluation only, may be incomplete or change without notice, and are not subject to any service-level expectations. We may modify, suspend, or discontinue a Beta Feature at any time. Disclaimers and limitations of liability in these Terms apply to Beta Features with particular force.

Force majeure

Neither party will be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil disturbance, labor dispute, pandemic, government action, internet or telecommunications failures, upstream-vendor outages (including Stripe, Supabase, Vercel, Twilio, Resend, and Mapbox), denial-of-service attacks, and supply-chain disruptions. We will use commercially reasonable efforts to resume performance as soon as practicable.

Governing law, venue, and dispute resolution

These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the service will be brought exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

No class actions. You and GroundCut each agree that any dispute will be resolved on an individual basis. Neither party may bring a claim as a plaintiff or class member in any purported class or representative action. This waiver does not preclude either party from seeking injunctive relief for the protection of intellectual-property rights.

Time bar. Any claim arising out of or related to these Terms or the service must be filed within one year after the claim accrues, or it is permanently barred, to the maximum extent permitted by law.

Notices

We may give you notices by email to the address on your account, by in-app banner, or by posting to the marketing site. You may give us notice by emailing groundcutadmin@aipromptenterprises.com. Notices are effective when sent (for email or in-app) or when first posted (for the marketing site).

Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee assumes our obligations under these Terms. Any purported assignment in violation of this section is void.

Entire agreement and severability

These Terms (together with the Privacy Policy and any other policies referenced here) constitute the entire agreement between you and GroundCut and supersede any prior or contemporaneous agreements on the same subject. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision is not a waiver of that right or provision. There are no third-party beneficiaries under these Terms.

Export and US economic sanctions

GroundCut is provided from the United States. You represent that you are not located in, and are not a national or resident of, any country or region subject to comprehensive US economic sanctions, and that you are not on any US government list of restricted parties.

Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Your continued use of the service after the effective date of a change constitutes acceptance of the updated Terms.
